If you are accessing this Website on behalf of an entity, organization, or company, you agree to indemnify GRAYS™ Strategy LLC against any claim resulting from your employees’ or agents’ breach of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Dispute Resolution Process

By using this Website, you agree to resolve any disputes through the following process:

Step 1: Good Faith Negotiation (60 Days)

Before initiating arbitration, the parties agree to attempt resolution through good faith negotiation for a period of 60 days.

Either party may initiate this process by sending written notice of the dispute to:

The parties will make reasonable efforts to resolve the dispute through direct discussion.

Step 2: Binding Individual Arbitration

If the dispute is not resolved through good faith negotiation within 60 days, it shall be resolved through binding individual arbitration.

Arbitration terms:

• Arbitration will be conducted in Wyoming

• Governed by the American Arbitration Association (AAA) Commercial Arbitration Rules

• One arbitrator will be appointed

• Arbitration shall be conducted on an individual basis only (not as a class action or representative action)

• The arbitrator’s decision is final and binding

• Judgment on the arbitration award may be entered in any court of competent jurisdiction

Costs:

• Each party bears its own attorneys’ fees unless the arbitration rules or applicable law provide otherwise

• Filing fees and arbitrator fees shall be split equally between the parties

Exceptions to Arbitration

The following disputes are NOT subject to arbitration:

• Intellectual property infringement claims (patents, copyrights, trademarks, trade secrets)

• Claims seeking injunctive relief for urgent matters

• Small claims court actions within the jurisdictional limits of small claims court

Either party may seek equitable relief (such as injunctive relief) in Wyoming state or federal courts for these excepted matters.

Individual Arbitration Only

Disputes will be resolved on an individual basis only. There shall be no class arbitration, class action, or representative action.

You and GRAYS™ Strategy LLC each waive the right to participate in a class action lawsuit or class-wide arbitration against the other.

Venue

If arbitration is required, it will take place in Wyoming.

If court proceedings are necessary (for excepted matters), you agree to submit to the exclusive jurisdiction of state or federal courts located in Wyoming.

Important: Professional Services Disputes

This dispute resolution provision applies ONLY to disputes arising from use of this Website.

Disputes arising from professional consulting services provided under a Master Services Agreement will be governed by the dispute resolution provisions in that agreement.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GRAYS™ Strategy LLC regarding use of the Website.

These Terms supersede any prior oral or written communications regarding Website use.

IMPORTANT: These Terms govern ONLY Website use. Professional consulting services are governed separately by the Master Services Agreement, Statement of Work, and any applicable Non-Disclosure Agreement.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms.

The remaining provisions shall continue in full force and effect.

No Waiver

Failure by GRAYS™ Strategy LLC to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

A waiver of any provision on one occasion does not waive that provision on any other occasion.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

GRAYS™ Strategy LLC may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure

GRAYS™ Strategy LLC shall not be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, Internet service provider failures, or cyber attacks not caused by our negligence.

Electronic Signatures

If you engage our services and execute contracts electronically (via DocuSign, Adobe Sign, or similar platforms), you agree that electronic signatures are legally binding and have the same force as handwritten signatures on paper contracts.

Modification of Terms

GRAYS™ Strategy LLC reserves the right to change or modify these Terms at any time. Changes will be effective immediately upon posting to the Website with an updated “Last Updated” date.

We may notify you of material changes through the email address you have provided (if applicable).

Your continued use of the Website following posting of changes constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you must discontinue using the Website.

Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to:
